Does My US LLC Need a BOI Report? (No — Here's Why)
No. An LLC formed in any US state doesn't need to file a BOI report. FinCEN's final rule, published and effective August 14, 2026, exempts all entities created in the United States and all US persons. That includes LLCs with foreign owners, though those LLCs may still need to file Form 5472 with the IRS.
Short answer: no. If your LLC was formed by filing with a secretary of state (or similar office) in any US state, it doesn't need to file a beneficial ownership information (BOI) report with FinCEN. That's true whether it has one member or many, and whether its owners live in the US or abroad.
Here's why, what to do if you already filed, and the one filing foreign owners still need to check.
Why don't US LLCs file BOI reports anymore?
FinCEN changed the definition of "reporting company."
- Original rule (2024): most small US companies, including LLCs, were "domestic reporting companies" and had to file.
- Interim final rule (March 26, 2025): FinCEN narrowed "reporting company" to entities formed under foreign law and registered to do business in the US. US-created entities and US persons were exempted.
- Final rule (published and effective August 14, 2026, 91 FR 52508): FinCEN adopted the interim rule with limited changes, making the exemption permanent.
The current regulation, 31 CFR 1010.380, reserves the old "domestic reporting company" category. It also lists "domestic entity" (one created by filing with a US secretary of state or similar office) among the entities that are not reporting companies.
FinCEN's BOI page puts it plainly: "U.S. companies are exempt from BOI reporting requirements and therefore, are no longer required to file BOI reports."

What matters is where the entity was created, not who owns it, where the owners live or where the business operates.
I already filed a BOI report. What now?
You don't need to do anything.
- You don't need to file updates or corrections for a US company.
- US persons with a FinCEN ID don't need to update or correct the information they gave FinCEN.
- FinCEN said, in its August 11, 2026 announcement, that it will delete previously reported information by US persons from the BOI database.
There's no form to request deletion and nothing to withdraw.
Does the Corporate Transparency Act still apply to my LLC?
The CTA statute (31 U.S.C. 5336) still exists. It wasn't repealed. But the reporting obligation comes from FinCEN's regulation, and that regulation now exempts US-created companies and US persons. In practice, your US LLC has no BOI filing obligation.
FinCEN also said, while the interim rule was in place, that it would not enforce BOI penalties against US citizens or domestic reporting companies or their beneficial owners.
What if my LLC's owner lives outside the US?
The LLC is still a US-created entity, so no BOI report. But foreign owners often have another filing that matters more.
A single-member US LLC owned by a non-US person is a "foreign-owned US disregarded entity." For Form 5472 purposes, the IRS treats it as a domestic corporation. It generally must file Form 5472 attached to a pro forma Form 1120 for each tax year it has a reportable transaction with a related party, such as:
- the owner putting money into the LLC (a capital contribution),
- the LLC paying money back to the owner (a distribution),
- loans between the owner and the LLC, or
- the owner paying the LLC's expenses personally.

Why do I keep getting letters about BOI?
Some are old reminders written under the 2024 rules. Some are paid filing services. And some are scams. Could this change again?
